Practitioner Agreement
Terms governing participation as an independent practitioner on the Gyfts platform
For Practitioners: This Agreement applies to all practitioners listing their practice on Gyfts. It should be read alongside the Terms of Service and Privacy Policy.
1. Independent Contractor Status
Practitioners using the Gyfts platform operate as independent contractors. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or fiduciary relationship between Gyfts and the Practitioner.
2. Scope of Platform Services
Gyfts provides a technology marketplace and discovery platform facilitating connections between users and independent practitioners. Gyfts may provide tools including profile listings, booking and messaging functionality, AI-assisted discovery (including Vidi), and content visibility and ranking systems.
Gyfts does not provide medical, therapeutic, or healthcare services and does not supervise practitioner decisions or service delivery.
3. Practitioner Responsibilities
Practitioners are solely responsible for:
- Professional qualifications, certifications, and licensing
- Compliance with applicable laws and regulations in their jurisdiction
- Maintaining appropriate insurance coverage
- Accuracy and completeness of all profile information
- Services delivered to users and any resulting outcomes
Practitioners must ensure that all information provided on the Platform is truthful, current, and not misleading.
4. Content and Claims Standards
Practitioners agree that they will not:
- Make false, misleading, or deceptive claims
- Claim to diagnose, treat, cure, or prevent medical conditions unless legally authorised to do so
- Use language that implies guaranteed outcomes
- Misrepresent qualifications, credentials, or experience
Gyfts reserves the right to remove or modify content that violates these standards.
5. AI and Platform Visibility
Practitioners acknowledge that their profiles may be displayed, ranked, or recommended using algorithmic systems, and that AI tools (including Vidi) may generate references to their services based on platform data. Such systems are dynamic and may change over time.
Gyfts does not guarantee visibility, ranking position, or inclusion in recommendations. Practitioners may not challenge rankings or AI outputs as a contractual entitlement.
6. Verification
Practitioners may apply for profile verification. Verification is based on submitted or publicly available information and does not constitute endorsement, accreditation, or validation of qualifications. Verification may be revoked at any time.
Verification is governed by the Gyfts Verification Policy. Practitioners agree not to misrepresent the meaning of verification.
7. Payments, Subscriptions, and Fees
Practitioners may subscribe to paid plans, verification services, or featured placement options. Practitioners acknowledge that fees are charged for platform access, visibility, or features, and that payments are processed via third-party providers such as Stripe.
Practitioners are responsible for taxes, refunds, chargebacks, and compliance with applicable financial regulations. All fees are non-refundable unless required by law.
8. Featured and Sponsored Placement
Practitioners may purchase enhanced visibility through featured or sponsored placements. Practitioners acknowledge that placement is subject to availability and platform rules, that payment does not guarantee results, bookings, or engagement, and that Gyfts may determine how and where placements are displayed.
9. Platform Control and Enforcement
Gyfts reserves the right to remove or modify practitioner content, adjust rankings, visibility, or placement, suspend or terminate accounts, and revoke verification status where necessary to enforce platform policies, ensure compliance with applicable law, or protect users and platform integrity.
10. Data Protection and Confidentiality
Practitioners are independent data controllers in relation to any personal data they receive from users. Practitioners are responsible for compliance with applicable data protection laws, secure handling of user data, and maintaining confidentiality of communications. Gyfts is not responsible for practitioner data practices outside the Platform.
11. HIPAA and Regulatory Positioning
Gyfts is not a Covered Entity under HIPAA and does not act as a Business Associate unless expressly agreed in writing. Practitioners are solely responsible for determining regulatory obligations applicable to their practice.
12. Indemnification
Practitioner agrees to indemnify and hold harmless Gyfts Inc., its directors, officers, employees, and affiliates from claims arising out of services provided by the practitioner, negligence or misconduct, regulatory violations, or breach of this Agreement.
13. Limitation of Liability
To the maximum extent permitted by law, Gyfts shall not be liable for indirect, incidental, consequential, or punitive damages, or loss of income, business, or reputation. Gyfts' total liability shall not exceed the amount paid by the practitioner in the preceding 12 months.
14. Termination
Gyfts may suspend or terminate practitioner accounts where this Agreement or platform policies are violated, legal or regulatory risk arises, or platform integrity is compromised.
15. Refunds on Termination for Breach
Where an account, organization or individual is suspended or terminated due to:
- Breach of this Agreement
- Violation of platform policies
- Misleading or unlawful conduct
- Regulatory or legal risk
Any fees paid, including subscriptions, verification fees, or promotional placements:
- Shall not be refunded
- Shall not be prorated
- Shall not be credited
- Shall not be reinstated
Practitioners acknowledge that fees relate to access to the platform and associated visibility, not guaranteed outcomes.
This provision applies to the maximum extent permitted by applicable law.
16. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of Ireland. Disputes shall be subject to the exclusive jurisdiction of the Irish courts.

Gyfts may update this Agreement periodically. Continued use of the Platform constitutes acceptance of any updates.
