Terms of Service
The terms governing your access to and use of the Gyfts platform
Important: By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.
1. Contracting Entity
The Platform is operated by Gyfts Inc., a corporation registered in Delaware, USA ("Gyfts", "we", "us").
Gyfts serves users in the European Union and beyond. These Terms are governed by the laws of Ireland (see the Governing Law section below).
2. Nature of the Platform
Gyfts operates a digital discovery, directory, booking, educational, and communication platform connecting users with independent practitioners in metaphysical, alternative, complementary, and holistic (MACH) specialities and modalities.
Gyfts is a technology intermediary only. Gyfts does not provide healthcare, therapy, diagnosis, treatment, or regulated services.
3. Independent Practitioner Relationship
Practitioners are independent contractors and are not employees, agents, or representatives of Gyfts.
Any contract for services is formed directly between the user and the practitioner. Practitioners are solely responsible for:
- Professional qualifications and licensing
- Regulatory compliance
- Insurance coverage
- Service delivery and outcomes
4. No Medical or Professional Advice
All content, including AI-generated content, is informational only and does not constitute medical, clinical, legal, financial, or professional advice.
Users should consult licensed professionals for regulated advice.
5. AI and Automated Tools (Vidi)
The Platform includes AI-powered tools, including Vidi, which may generate informational responses, suggest practitioners, modalities, or content, and organise user inputs into features such as wellness maps.
These tools are informational only, do not provide diagnosis, treatment, or medical advice, and do not make legally binding or significant decisions. AI-generated outputs may be incomplete or inaccurate. Users remain solely responsible for how they interpret and use such outputs.
6. User-Provided Information
Users may voluntarily provide personal or sensitive information, including health-related information, when using the Platform.
Users acknowledge that such information is provided at their own discretion, Gyfts does not verify or validate such information, and Gyfts does not create medical records. Users are responsible for ensuring that any information they share is appropriate and lawful.
7. Practitioner Verification
Gyfts may offer a verification feature for practitioner profiles. Verification indicates that certain information has been reviewed based on submitted or public data. It does not constitute endorsement, accreditation, or validation of qualifications, and does not guarantee safety, effectiveness, or suitability of services.
Verification is governed by the Gyfts Verification Policy.
8. Ranking, Recommendations, and Featured Listings
Gyfts may organise and present content based on relevance to user input, platform data relationships, location and other contextual factors, and profile completeness or engagement signals. Gyfts may also offer paid featured or sponsored placements.
Users acknowledge that paid placements may influence visibility and that recommendations do not constitute endorsement or guarantee of outcomes. Further details are provided in the Ranking & Recommendation Transparency Policy.
9. Practitioner-Specific Terms
By listing on Gyfts, practitioners agree that:
- All profile information must be accurate and not misleading
- No unlawful or unsubstantiated medical claims may be made
- They grant Gyfts a non-exclusive licence to display submitted content
- They grant Gyfts a non-exclusive licence to edit, modify, or remove practitioner content
- They are independently responsible for all services delivered
Gyfts reserves the right to suspend or remove practitioner listings that violate these Terms, platform policies, or applicable law.
10. Payments and Subscriptions
Practitioners may pay subscription, verification, or listing fees. Gyfts acts solely as a platform intermediary and is not a party to practitioner-user service agreements. All fees are non-refundable unless required by law.
11. Acceptable Use
Users and practitioners agree not to:
- Submit false or deceptive information
- Make unlawful or misleading medical claims
- Harass, abuse, or harm others
- Attempt to scrape, copy, or exploit Platform data
- Interfere with Platform security or functionality
12. Intellectual Property
All Platform software, branding, and materials are owned by Gyfts or its licensors. Practitioner content remains the practitioner's property but is licensed to Gyfts for display and marketing purposes.
13. Disclaimers
The Platform is provided "as is" without warranties of any kind. Gyfts does not guarantee accuracy of content or listings, availability or uninterrupted access, or outcomes from practitioner services.
14. Limitation of Liability
To the fullest extent permitted by Irish and EU law, Gyfts shall not be liable for injury or harm arising from practitioner services, indirect, incidental, or consequential damages, or loss of profits, data, or reputation.
Gyfts' total aggregate liability shall not exceed the greater of €100 or the amount paid to Gyfts in the previous 12 months.
15. Indemnification
Users and practitioners agree to indemnify and hold harmless Gyfts Inc., its directors, officers, employees, and affiliates from claims arising out of use of the Platform, services provided by practitioners, or breach of these Terms.
16. Termination
Gyfts may suspend or terminate accounts at its discretion where Terms are violated or legal risk arises.
17. Refunds Following Termination for Breach
If a user or practitioner account is suspended or terminated due to a breach of these Terms, the Code of Conduct, or any applicable platform policies:
- Any active subscriptions, fees, or payments shall be forfeited
- No refunds, credits, or prorated reimbursements will be provided
This applies where termination results from:
- Violations of platform rules
- Misconduct or abusive behaviour
- Misrepresentation or fraudulent activity
- Any activity that creates legal, regulatory, or reputational risk for Gyfts
This clause does not affect any statutory rights that may apply under applicable law.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of Ireland. Disputes shall be subject to the exclusive jurisdiction of the Irish courts.
19. Changes to Terms
Gyfts may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
20. Entire Agreement
These Terms, together with referenced policies, constitute the entire agreement between users, practitioners, and Gyfts.
